By accessing or using Repono.AI ("the Service"), operated by Repono.AI ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

We reserve the right to update these terms at any time. Continued use of the Service after changes constitutes acceptance of the updated terms.

2. Description of Service

Repono.AI is an AI-powered media management platform that allows content creators to upload, organize, search, and manage video, audio, and image files. The Service includes features such as AI auto-tagging, natural language search, team collaboration, and third-party storage integrations.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete information when registering
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years of age to use the Service. By registering, you confirm that you meet this requirement.

4. Subscription & Billing

Repono.AI offers paid subscription plans. By subscribing, you agree to pay the applicable fees for your chosen plan. All payments are processed securely by Stripe.

• Subscriptions are billed monthly in advance
• You may upgrade or downgrade your plan at any time
• Cancellations take effect at the end of the current billing period
• We do not offer refunds for partial billing periods
• We reserve the right to change pricing with 30 days notice

5. Acceptable Use

You agree not to use the Service to:

• Upload, store, or distribute illegal content
• Infringe on the intellectual property rights of others
• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for any commercial purpose not expressly permitted
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms without notice.

6. Your Content

You retain full ownership of all media files and content you upload to Repono.AI. By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

You are solely responsible for the content you upload. You represent that you have all necessary rights to upload and use your content through the Service.

We do not claim ownership of your content and will not use it for purposes beyond operating the Service, including AI model training.

7. AI Features

Repono.AI uses artificial intelligence to analyze your media files and generate tags. By using the Service, you consent to your media content being processed by our AI systems and third-party AI providers (Anthropic Claude API) for the purpose of generating tags and enabling search functionality.

AI-generated tags are suggestions only. We do not guarantee the accuracy of AI-generated content.

8. Third-Party Integrations

The Service integrates with third-party platforms including Dropbox and Google Drive. Your use of these integrations is subject to the respective terms of service of those platforms. We are not responsible for the availability or functionality of third-party services.

9. Storage & Data

Each subscription plan includes a specified storage limit. If you exceed your storage limit, you will be unable to upload additional files until you upgrade your plan or delete existing files.

We will make reasonable efforts to maintain the availability and integrity of your stored data. However, we recommend maintaining backups of important files. We are not liable for data loss due to technical failures.

10. Team Features

Certain plans allow you to invite team members to your workspace. As the workspace owner, you are responsible for the actions of your team members and ensuring they comply with these Terms of Service. You may remove team members at any time.

11. Intellectual Property

The Repono.AI platform, including its design, features, and technology, is owned by Repono.AI and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service without our written permission.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the maximum extent permitted by law, Repono.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you shall not exceed the amount you paid us in the three months preceding the claim.

14. Termination

You may cancel your account at any time through your billing settings. We reserve the right to suspend or terminate your account for violation of these terms, non-payment, or any other reason at our discretion with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination before deletion, during which time you may request an export.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration rather than court proceedings.
